License Agreement for 3skeng Products

Welcome to 3skeng©, the engineering solution for Trimble SketchUp™ developed by SHK. This License Agreement governs the use of the 3skeng software. The purchase of licences is governed by our General Terms and Conditions (GTC). By downloading, installing or using the 3skeng software or any portion thereof, you agree to this License Agreement.

1. Definitions

1.1 "Licensed Software" means the object code of the 3skeng tools and libraries, including compiled, locked and unlocked interpreter, HTML and other files, which SHK provides as an extension for Trimble SketchUp under this License Agreement. The Licensed Software does not include a licence for Trimble SketchUp.

1.2 "SHK" means SHK Engineering and Consulting GmbH & Co. KG, Dorfstrasse 16, 83670 Bad Heilbrunn, Germany.

1.3 "Consumer" and "Business Customer" have the meaning given in Section 1.2 of the GTC.

2. Scope of Licence

2.1 Tools ("List", "Pipe", "Mount", "Steelwork", "Channel" and "Cable Tray"): SHK grants you a non-exclusive, non-transferable, time-limited licence to use the Licensed Software (here: Tool). One licence entitles you to install the Tool on one Windows or macOS computer. You do not need an additional licence for a self-installed copy of the Tool on a storage medium in your own network (e.g., a server) that only you or your employees can access.

2.2 Libraries for 3skeng "Pipe" and 3skeng "Mount": SHK grants you a non-exclusive, non-transferable, time-limited licence to use the Licensed Software (here: Library). The use of a Library requires a valid licence for 3skeng "Pipe" (for "Pipe" libraries) or 3skeng "Mount" (for "Mount" libraries).

2.3 The licence may be used worldwide, subject to applicable export control and sanctions law (Section 9 of the GTC).

2.4 The licence term is one year from the date of purchase. Licences do not renew automatically; a renewal requires a new order (Section 7.1 of the GTC). Upon expiry, the right to use the Licensed Software ends.

2.5 Trial licence: SHK may grant you a free, non-exclusive, non-transferable trial licence to use the Licensed Software for the trial period specified when the trial is provided (currently 14 days). The trial licence serves exclusively to test the Licensed Software. The provisions of this License Agreement, in particular Section 3, apply accordingly to the trial licence; Section 2.4 does not apply. Upon expiry of the trial period, the right to use the Licensed Software ends.

3. Restrictions

3.1 You may make a back-up copy insofar as this is necessary to secure future use.

3.2 You shall not sublicense, rent, lease or otherwise transfer the Licensed Software or make it available to any third party in any form.

3.3 You shall not modify the Licensed Software and in particular shall not reverse engineer, disassemble, decompile, decrypt, make interpreter code visible, translate or adapt it, whether manually or with the help of automated tools, scripts or artificial intelligence systems (e.g., large language models, AI coding assistants or AI agents; hereinafter "AI Systems"), unless this is permitted by mandatory law (in particular Sections 69d and 69e of the German Copyright Act).

3.4 You do not obtain any rights or title to copyrights, trademarks or other proprietary rights of SHK except as expressly granted in this License Agreement.

3.5 You shall not enter, upload or transmit (a) the Licensed Software or any part of it, in particular its interpreter, HTML and other files in locked or unlocked form, (b) decrypted, decompiled or disassembled output of the Licensed Software, or (c) the content of the Libraries into any AI System or other service operated by a third party, or otherwise make them available to such a system or service, for the purpose of analysing, reproducing, translating or adapting them or of deriving program code or data from them. This also applies to AI Systems that you operate yourself or have operated on your behalf.

3.6 You shall not use the Licensed Software or the content of the Libraries to train, fine-tune or evaluate any AI System. You shall not, whether by automated or manual means, extract or re-utilise the content of the Libraries in whole or in substantial part, or repeatedly and systematically extract or re-utilise insubstantial parts of it. SHK expressly reserves the use of the Licensed Software and the Libraries for text and data mining within the meaning of Section 44b(3) of the German Copyright Act.

3.7 You shall not circumvent, disable, emulate or otherwise interfere with the licence activation, the licence checks or the communication with SHK's servers (Section 6); this also applies to the use of AI Systems or other tools for this purpose.

3.8 You shall keep the Licensed Software, in particular its program code and the content of the Libraries, confidential and protect it appropriately against access by unauthorised third parties. You shall ensure that your employees and other agents comply with the provisions of this Section 3.

3.9 Your right under mandatory law to observe, study and test the functioning of the Licensed Software (Section 69d(3) of the German Copyright Act) remains unaffected. Likewise, the intended use of the models, parts lists and other work results you create with the Licensed Software remains unaffected, including in connection with AI Systems, provided that this does not breach Section 3.6.

3.10 Note: Components or groups that the Licensed Software inserts into your SketchUp model should not be modified manually. The Licensed Software deletes and rebuilds automatically generated elements, so manual modifications may cause malfunctions or data loss.

4. System Requirements

4.1 Trimble SketchUp must be installed on the computer on which the Licensed Software is used. Trimble SketchUp is not part of this licence and must be licensed separately.

4.2 The supported operating systems and SketchUp versions are set out in the product description at the time of purchase.

5. Use of Results

5.1 The Licensed Software is a design and planning tool and does not replace professional engineering review. Before using the results generated with the Licensed Software (in particular dimensions, quantities, parts lists and component data), you are responsible for checking them for accuracy and suitability for your project and for compliance with applicable technical standards, building regulations and manufacturer specifications.

5.2 Component data contained in the libraries (e.g., dimensions of pipes, fittings or mounting components) is based on information published by the respective manufacturers or on applicable standards. SHK compiles this data with care but cannot guarantee that it reflects the manufacturers' current product ranges.

5.3 You shall back up your SketchUp models regularly and in accordance with the state of the art.

5.4 SHK's liability is governed by Section 6 of the GTC. This Section 5 does not limit SHK's liability under Section 6.4 of the GTC.

6. Activation and Licence Server

6.1 When you start the Licensed Software for the first time, you enter your email address, which serves as your 3skeng user ID. Activation keys are sent to this email address. Purchased licences are assigned to this email address automatically after payment.

6.2 Licence activation, licence checks and update checks require an internet connection to SHK's servers. The data transmitted for this purpose are described in the Privacy Policy.

7. Updates and Changes

7.1 During the licence term, SHK provides updates for the Licensed Software, including security updates. For Consumers, SHK provides the updates necessary to keep the Licensed Software in conformity with the contract (Section 6.2 of the GTC). If you are online, you will be notified as soon as an update is available.

7.2 You should install the updates provided. SHK is not liable for a lack of conformity that results solely from your failure to install an update within a reasonable time, provided that SHK has informed you of the update and of the consequences of not installing it.

7.3 SHK may change the Licensed Software beyond what is necessary to maintain conformity for valid reasons, in particular to add functions, to adapt it to new versions of Trimble SketchUp or operating systems, or to improve security or performance. For Consumers, such changes are made at no additional cost and SHK informs you clearly and in good time. If a change adversely affects your access to or use of the Licensed Software more than insignificantly, Consumers may terminate the contract free of charge within 30 days of receiving the information or of the change, whichever is later; SHK will refund the price paid for the remaining licence term.

8. Support and Security

8.1 If a problem occurs, please first review the support section on www.3skeng.com. Registered users also receive support by email. Please send a detailed error description, including the name and version of the operating system and the versions of SketchUp and the Licensed Software, to support@3skeng.com.

8.2 Security vulnerabilities in the Licensed Software can be reported to support@3skeng.com.

8.3 SHK provides security updates for the Licensed Software for the entire licence term.

9. Third-Party Rights

9.1 All industrial property rights and copyrights of SHK relating to the Licensed Software remain the exclusive property of SHK.

9.2 If claims are brought against you asserting an infringement of industrial property rights or copyrights in connection with the use of the Licensed Software, you shall notify SHK in writing promptly after becoming aware of them. SHK is entitled to be informed in advance of all intended measures to defend such claims and of all settlement negotiations. You shall provide reasonable assistance to SHK in dealing with or settling the claims.

9.3 If third-party claims are asserted against you, or if SHK expects such claims, SHK may modify or replace the Licensed Software or parts thereof so that no infringement of third-party rights arises, provided that the functionality of the Licensed Software is not adversely affected. In this case, you shall install the updates provided by SHK and refrain from using the previous version.

10. Further Provisions

10.1 Warranty, liability, governing law and place of jurisdiction are governed by the GTC. The processing of personal data is governed by the Privacy Policy.

10.2 In the event of conflict, this License Agreement prevails with regard to the scope of use, and the GTC prevail in all other respects.

10.3 If any provision of this License Agreement is or becomes invalid, the remaining provisions remain unaffected.

10.4 This License Agreement is available in German, English and Chinese. In the event of discrepancies between the language versions, the German version prevails.

10.5 Sections 3.2 to 3.8 continue to apply after the end of the licence term or the trial period and after termination.
